1. The Platform

Restructured provides software tools to help New Zealand employers manage employment restructuring processes. The platform includes org chart building, consultation tracking, document generation, and related HR workflow tools.

Not legal advice. The platform is a productivity tool, not a legal service. Nothing on Restructured constitutes legal advice. You are responsible for ensuring your restructuring process complies with New Zealand employment law, including the Employment Relations Act 2000. We strongly recommend obtaining independent employment law advice for significant restructures.

2. Eligibility and Account

You may use the platform if you:

Are at least 18 years of age
Are using the platform on behalf of a lawfully operating organisation
Have authority to bind that organisation to these Terms

You are responsible for maintaining the security of your account credentials. Notify us immediately at hello@restructured.org.nz if you suspect unauthorised access.

3. Acceptable Use

You agree not to:

Use the platform for any unlawful purpose or in breach of applicable employment law
Attempt to gain unauthorised access to any part of the platform or other users' data
Upload malicious code or attempt to disrupt the platform
Reproduce, distribute, or create derivative works of the platform without our written permission
Misrepresent your identity or affiliation when using the platform

4. Your Data

You retain ownership of all data you upload to the platform, including employee information and organisational documents. You grant us a limited licence to store and process that data for the purpose of providing the platform to you.

You are responsible for ensuring you have the legal right to collect and process any personal information you enter into the platform, and for complying with the Privacy Act 2020 in respect of your employees' data.

5. Fees and Payment

Paid subscriptions are billed monthly or annually as selected at sign-up. All prices are in New Zealand Dollars (NZD) and are exclusive of GST unless stated otherwise.

We may change pricing with 30 days' notice to your registered email address. Continued use after the notice period constitutes acceptance of the new pricing.

Refunds are provided at our discretion, except where required by the Consumer Guarantees Act 1993 or Fair Trading Act 1986.

6. Availability and Changes

We aim to provide a reliable service but do not guarantee 100% uptime. We may change, suspend, or discontinue features with reasonable notice. We will provide at least 30 days' notice before discontinuing the platform entirely.

7. Intellectual Property

The Restructured platform, including its software, design, and content, is owned by Restructured Limited. Nothing in these Terms transfers any intellectual property rights to you. You may not copy, modify, or redistribute the platform without written permission.

8. Liability Limitations

To the maximum extent permitted by New Zealand law, Restructured is not liable for any indirect, consequential, incidental, or special damages arising from your use of the platform, including (but not limited to) losses arising from employment law breaches, tribunal decisions, or employee claims.

Our total liability to you in any 12-month period will not exceed the fees you paid to us in that period.

Nothing in these Terms limits liability for fraud, death, or personal injury caused by negligence, or any liability that cannot be excluded under the Consumer Guarantees Act 1993 or Fair Trading Act 1986 where those Acts apply.

9. Termination

You may cancel your account at any time. We may suspend or terminate your account if you breach these Terms, with notice where reasonably practicable.

On termination, you may export your data for 30 days after the termination date. After that period, we may delete your data subject to any legal retention requirements.

10. Governing Law

These Terms are governed by the laws of New Zealand. Any disputes will be resolved in the New Zealand courts.

11. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email or via an in-platform notice at least 14 days before they take effect. Continued use of the platform after changes take effect constitutes acceptance.
